Terms of Service

1. Acceptance of Terms

By installing or using Reorder Radar ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not install or use the App. The App is provided by Happy Software ("we", "our", "us").

2. Description of Service

Reorder Radar is a Shopify application that provides inventory forecasting and reorder recommendations based on your store's sales velocity and inventory data. The App is available in two tiers:

• Free plan — core forecasting for up to 20 tracked products.
• Pro plan — unlimited product tracking, weekly email digests, and priority support.

3. Account Requirements

To use the App you must have an active Shopify store and be at least 18 years old (or the age of majority in your jurisdiction). You are responsible for maintaining the security of your Shopify account and for all activity that occurs under it.

4. Billing and Subscriptions

• The Free plan provides access to core features with a limit of 20 tracked products at no charge.
• The Pro plan is billed at $49.00 USD per month through Shopify's billing system.
• You may cancel your Pro subscription at any time. Cancellation takes effect at the end of the current billing period.
• Refunds are handled in accordance with Shopify's app billing policies.

5. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose.
• Attempt to reverse-engineer, decompile, or extract source code from the App.
• Interfere with or disrupt the App's infrastructure or other users' access.
• Resell, sublicense, or redistribute access to the App without our written consent.

6. Intellectual Property

The App, including its code, design, branding, and documentation, is the intellectual property of Happy Software. All rights are reserved. You retain full ownership of your store data.

7. Data and Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the App you consent to the data practices described therein.

8. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the App will be uninterrupted, error-free, or that forecasts will be perfectly accurate. Reorder recommendations are estimates based on historical sales data and should not be your sole basis for purchasing decisions.

9. Limitation of Liability

To the maximum extent permitted by law, Happy Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or lost inventory, arising from your use of the App. Our total aggregate liability shall not exceed the fees you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Happy Software and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the App or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the App at any time if you violate these Terms or engage in activity that may harm the App or other users. You may terminate your use at any time by uninstalling the App from your Shopify store. Upon termination, your right to use the App ceases immediately.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes we will notify you through the App or via email. Continued use of the App after such notice constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Happy Software operates, without regard to conflict of law principles.
